Terms & Conditions
1. Introduction
These Terms and Conditions govern the operations, rights, and obligations of RICHHARIYA’S RICHHEALTH NUTRIFARM LLP (hereinafter referred to as "the LLP"), incorporated under the Limited Liability Partnership Act, 2008 (LLPIN: ACF-1123). By engaging with the LLP, all partners, employees, and stakeholders agree to comply with these terms.

2. Definitions

LLP: The registered entity, RICHHARIYA’S RICHHEALTH NUTRIFARM LLP.

Partners: Individuals or entities listed as Designated/General Partners in the LLP Agreement.

Designated Partners: Partners responsible for statutory compliance under the LLP Act.

Authorized Signatories: Individuals permitted to legally bind the LLP.

3. Governance & Compliance

3.1 Legal Framework
-
The LLP shall operate under:

The Limited Liability Partnership Act, 2008.
-
Rules prescribed by the Ministry of Corporate Affairs (MCA).
-
Applicable tax laws (PAN: ABIFR5054J, TAN: PNER34557F).

3.2 Statutory Obligations
-
File Annual Returns (Form 11) and Statement of Accounts (Form 8) with the MCA.
-
Maintain updated records at the Registered Office (D-6/17, Andes CHSL, Godrej Hill, Kalyan West, Thane-421301).

Disclose changes in partners, capital, or business activity to the Registrar of Companies (RoC).

3.3 Financial Compliance

Adhere to Income Tax Act, 1961 for tax filings and audits.

Deduct TDS as per TAN (PNER34557F) and deposit with authorities.

4. Roles & Responsibilities
​
4.1 Designated Partners
-
Ensure compliance with MCA regulations.
-
Sign legal/financial documents and represent the LLP.
-
Liable for penalties due to non-compliance.
​
4.2 Employees & Consultants
-
Bound by confidentiality and non-compete clauses (if applicable).
-
Must follow operational protocols set by the LLP.

4.3 Advisory Board
-
Provide strategic guidance but hold no executive power.
​
5. Business Operations
​
5.1 Scope of Business
-
Primary activities: Nutrifarm Agriculture, Neutraceutical product development, Production, Sales, Marketing and related services.
-
Expansion into new sectors requires partner consensus and regulatory approvals.
​
5.2 Contracts & Agreements
-
All third-party contracts must be signed by Authorized Signatories.
-
Void if signed without due authority.

5.3 Intellectual Property
-
Trademarks, patents, or trade secrets developed by the LLP remain its property.
​
6. Financial & Liability Terms
​
6.1 Profit Sharing & Capital
-
Profits/losses distributed as per the LLP Agreement.
-
Partners contribute capital as agreed; no personal liability beyond contribution.

6.2 Audits & Records
-
Maintain books for 8 years as per the Companies Act.
-
Annual audit by a certified CA if turnover exceeds ₹40 lakhs or capital exceeds ₹25 lakhs.
​
6.3 Dissolution & Exit
-
Dissolution requires 75% partner approval and RoC filing.
-
Exiting partners must settle dues and sign a No-Objection Certificate (NOC).

7. Dispute Resolution
-
Arbitration under the Arbitration and Conciliation Act, 1996 for internal disputes.
-
Courts in Thane, Maharashtra, shall have jurisdiction.

8. Amendments & Miscellaneous
-
Amendments require unanimous partner approval.
-
The LLP’s Certificate of Incorporation (24-Jan-2024) is not a business license.
-
Verify registration status at mca.gov.in.
